1. Agreement to Terms

These Terms of Use and End User License Agreement ("Agreement" or "EULA") constitute a legally binding agreement between you ("User", "you", or "your") and IMF Traders Kozmetik ve Tekstil Ürünleri Ltd. Şti. ("Company", "we", "us", or "our"), governing your access to and use of the Eduly Games mobile application and related services (collectively, the "App").

If you are under 18 years of age, you must have your parent or legal guardian review and agree to this Agreement on your behalf.

2. Description of the App

Eduly Games is an educational application designed for children aged 4–12. The App provides interactive, game-based learning experiences aligned with school curricula. The App offers separate panels for students, parents, teachers, and school administrators.

Accounts are created and managed by parents or guardians; children do not directly provide personal data.

3. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App solely for personal, non-commercial educational purposes

This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the App.

4. Subscriptions and Payments

The App offers free basic features and optional paid Premium subscriptions:

• Eduly Premium (Monthly): Auto-renewable monthly subscription
• Eduly Premium (Yearly): Auto-renewable annual subscription

Auto-Renewal

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current subscription period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Managing Subscriptions

You can manage and cancel your subscriptions through your device's App Store account settings:

• iOS/iPadOS: Settings → [Your Name] → Subscriptions
• Android: Google Play Store → Menu → Subscriptions

Free Trials

If a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless cancelled at least 24 hours before the trial expires. Any unused portion of a free trial will be forfeited upon purchasing a subscription.

Refunds

Refunds are handled by the respective app store (Apple App Store or Google Play). The Company does not directly process refunds for in-app purchases.

5. Acceptable Use

You agree NOT to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Copy, modify, distribute, sell, or lease any part of the App
• Remove or alter any proprietary notices, labels, or marks
• Use the App to transmit any harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to any portion of the App or its systems
• Use any automated means (bots, scrapers) to access or interact with the App
• Interfere with or disrupt the integrity or performance of the App

6. Intellectual Property Rights

The App and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

All content within the App, including but not limited to word databases, graphics, audio, animations, user interface design, and software code, is the exclusive property of the Company. Unauthorized reproduction, distribution, or modification is strictly prohibited.

You are granted a limited license to use the App as described herein. No ownership rights are transferred to you.

7. Children's Privacy and Safety

The App is designed for use by children under parental supervision. We take children's safety and privacy seriously and comply with:

• COPPA (Children's Online Privacy Protection Act – USA)
• GDPR (General Data Protection Regulation – EU)
• KVKK (Personal Data Protection Law – Turkey)

• No personal data is collected directly from children
• No in-app advertisements are displayed
• No third-party tracking or analytics tools are used
• Learning progress data is stored solely for educational tracking purposes
• Parents can delete all child data through the Parent Panel at any time

8. User Accounts

To use certain features of the App, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized account use

We reserve the right to suspend or terminate accounts that violate this Agreement.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

The Company does not warrant that the App will be error-free, uninterrupted, secure, or free from viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE APP.

The Company's total liability to you for any claims arising from this Agreement shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

11. Third-Party Services

The App may contain links to or integrate with third-party services. These third-party services are governed by their own terms and privacy policies, and the Company is not responsible for their content or practices. Third-party services used include:

• Google Firebase (data storage and authentication)
• Apple App Store / Google Play (payment processing)

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of significant changes through the App or by email. Your continued use of the App after any changes constitutes your acceptance of the new Agreement.

We encourage you to review this Agreement periodically. The "Last Updated" date at the top of this page indicates when the Agreement was last revised.

13. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s) of this Agreement.

Upon termination, you must cease all use of the App and delete all copies. Active subscriptions remain valid until the end of the current billing period.

The Company may also suspend or terminate your access to the App at any time for any reason, including violation of this Agreement, without prior notice or liability.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

Any disputes arising from or relating to this Agreement or the App shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.

15. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

• This Agreement is between you and the Company only, not with Apple Inc. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support services for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims you or any third party have relating to the App.
• Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement as a third-party beneficiary.
